This Policy applies to Copado, Inc. and its affiliates andsubsidiaries, including Copado Limited, Copado Netherlands B.V., Copado K.K.,and Copado Australia Pty Ltd (collectively referred to as “Copado”) and covers anywebsite where we display these terms (each a "Site"). Contracts helddirectly between Copado and our Customers, Partners, or Service Providersgovern over these Terms of Use.

We reserve the right to modify these Terms of Use at anytime without giving you prior notice. Your use of a Site following any such modification constitutes your agreement to follow and be bound by these Terms of Use, as modified. You may use a Site, and the information, writings, images and/or other works that you see, hear or otherwise experience on a Site (singlyor collectively, the "Content") solely for your non-commercial,personal purposes and/or to learn about Copado and the products, services, and opportunities we offer solely in compliance with these Terms of Use.
By accessing a Site, you agree that you will not:
(i) use a Site in violation of these Terms of Use and/or Copado’s Acceptable Use Policy, found here: https://www.copado.com/company-legal-agreements.
(ii) copy, modify, create a derivative work from, reverse engineer or reverse assemble a Site, or otherwise attempt to discover anysource code, or allow any third party to do so;
(iii) sell, assign, sublicense, distribute, commercially exploit, grant a security interest in or otherwise transfer any right in, ormake available to a third party, the Content or Site in any way;
(iv) use or launch any robotic or automated system, that scrapes or accesses a Site in a manner that sends more request messages to theservers hosting Copado’s products, services, and Sites, in each period than ahuman can reasonably produce in the same period by using a conventional webbrowser;
(v) use a Site in any manner that damages, disables,overburdens, or impairs any Copado website or interferes with any other party's use and enjoyment of a Site;
(vi) mirror or frame a Site or any part of it on any other web site or web page.
(vii) access a Site by any means other than through the interface that is provided by Copado for use in accessing a Site;
(vii) any use of the Site or the Content for training any LLMs, artificial-intelligence, knowledge-base, or similar libraries of content;or
(viii) use any Content or a Site in a manner that violates patents, copyrights, trademarks, and/or other laws.
Each Site is based upon proprietary Copado information,technology, and Content. Each Site is protected by applicable intellectual property and other laws, including trademark and copyright laws. Each Site,including all intellectual property rights in a Site, belongs to and is theproperty of Copado or its licensors (if any). Copado owns and retains all ofits copyrights in the Content. Except as specifically permitted by Copado, theContent may not be copied, reproduced, modified, published, uploaded, posted,transmitted, performed, or distributed in any way. All Copado logos,trademarks, and Content are the intellectual property of Copado. Theappearance, layout, color scheme, and design of the Copado Site are protectedas our intellectual property. You do not receive any right or license to usethe foregoing. Copado may use and incorporate into a Site any suggestions orother feedback you provide, without payment or condition.
Pursuant to Title 17, United States Code, Section 512(c)(2), notifications of claimed copyright infringement on a Site or the Service should be sent to Copado via the process outlined below.
You represent that you have all right, title, and interestto materials you post on a Site or provide to Copado ("Materials"),including but not limited to any consent, authorization, release, clearance orlicense from any third party (such as, but not limited to, any release relatedto rights of privacy or publicity) necessary for you to provide, post, upload,input or submit the Materials. You grant to us all rights, licenses andpermissions necessary to display, reproduce, disseminate Materials providedthrough or disclosed by you.
You represent and warrant that you are who you say you are,that you have not submitted fictitious, false or inaccurate information about yourself, and that all information contained in the posted Materials is trueand your own work or work you are authorized to submit. You alsorepresent the posted Materials submitted do not violate the Prohibited Use restrictions set forth in Section 2.
Links on a Site to third party web sites or information areprovided solely as a convenience to you. If you use these links, you will leavethe Site and be subject to the terms and privacy policies of those thirdparties. Such links do not constitute or imply an endorsement, sponsorship, orrecommendation by Copado of the third party, the third-party web site, or theinformation there. Copado is not responsible for the availability of any suchweb sites. Copado is not responsible or liable for any such web sites or thecontent thereon.
COPADO AND ITS AFFILIATES, LICENSORS, AND SUPPLIERS MAKE NOREPRESENTATIONS ABOUT THE SUITABILITY, RELIABILITY, AVAILABILITY, SECURITY ORACCURACY OF SITES OR CONTENT FOR ANY PURPOSE. TO THE MAXIMUM EXTENT PERMITTEDBY APPLICABLE LAW, ALL INFORMATION, SOFTWARE, PRODUCTS, SERVICES, SITES, ANDRELATED CONTENT ARE PROVIDED "AS IS" WITHOUT WARRANTY OR CONDITION OFANY KIND. COPADO AND ITS AFFILIATES, LICENSORS, AND SUPPLIERS HEREBY DISCLAIMALL WARRANTIES AND CONDITIONS OF ANY KIND WITH REGARD TO SITES AND CONTENT,INCLUDING ALL IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FORA PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. NO STATEMENT OR INFORMATION,WHETHER ORAL OR WRITTEN, OBTAINED FROM COPADO IN ANY MEANS OR FASHION SHALLCREATE ANY WARRANTY NOT EXPRESSLY AND EXPLICITLY SET FORTH IN THIS AGREEMENT.THE CONTENT MAY INCLUDE INACCURACIES OR TYPOGRAPHICAL ERRORS.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NOEVENT SHALL COPADO AND ITS AFFILIATES, LICENSORS, OR SUPPLIERS BE LIABLE FORANY DIRECT, INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARYOR OTHER TYPE OF DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR COVER ORLOSS OF USE, DATA, REVENUE OR PROFITS, ARISING OUT OF OR IN ANY WAY CONNECTEDWITH THE USE OR PERFORMANCE OF A SITE, WITH THE DELAY OR INABILITY TO USE ASITE, OR FOR ANY CONTENT, OR OTHERWISE ARISING OUT OF THE USE OF A SITE,WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, THE FAILURE OFANY LIMITED REMEDY TO ACHIEVE ITS ESSENTIAL PURPOSE, OR OTHERWISE, EVEN IF COPADOOR ANY OF COPADO’S SUPPLIERS HAS BEEN ADVISED OF THE POSSIBILITY OF DAMAGES.BECAUSE SOME STATES/JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OFLIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, THE ABOVE LIMITATION MAY NOTAPPLY TO YOU.
IF, NOTWITHSTANDING THE OTHER TERMS OF THIS AGREEMENT, COPADOIS DETERMINED TO HAVE ANY LIABILITY TO YOU OR ANY THIRD PARTY FOR ANY LOSS,HARM OR DAMAGE, YOU AGREE THAT THE AGGREGATE LIABILITY OF COPADO AND ITSOFFICERS, DIRECTORS, MANAGERS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS,SERVICE PROVIDERS, LICENSORS OR SUPPLIERS SHALL IN ALL CASES BE LIMITED TO ONEHUNDRED ($100) DOLLARS.
You understand and agree that you are personallyresponsible for your behavior on a Site. You agree to indemnify, defend andhold harmless Copado, its affiliated companies (including parent andsubsidiaries), joint ventures, business partners, licensors, employees, agents,and any third-party information providers from and against all claims, losses,expenses, damages and costs (including, but not limited to, direct, incidental,consequential, exemplary and indirect damages), and reasonable attorneys' fees,resulting from or arising out of your use, misuse, or inability to use a Siteor the Content, or any violation by you of these Terms of Use.
Copado cannot and does not guarantee or warrant that filesavailable for downloading through a Site will be free of infection by softwareviruses or other harmful computer code, files or programs.
9.1 Profiles. Some Sites, allow you to create andmaintain a public profile. If you choose to create a profile on a Site,you agree you will i) be at least 18 years of age or older; ii) provide trueand accurate information, to the best of your knowledge, to the extent youchoose to provide it; iii) comply with laws that apply to you; and iv) complywith the community rules and/or code of conduct documentation made available ona Site.
You may access, correct, or delete your personal information as permitted by our Privacy Policy and applicable law.
9.2 Promotional Offers. We may occasionally providepromotional offers. Promotional offers are non-transferable, may not becombined with any other special offers, promotions or discounts, are notredeemable for cash, and may not be applied after you complete checkout. Promotionaloffers are not subject to any renewals. We might withdraw, amend or cancelpromotional offers at any time.
10.1 Entire Agreement/No Waiver. These Terms of Use constitute the entire agreement of the parties with respect to the subjectmatter hereof. No waiver by Copado of any breach or default hereunder shall bedeemed to be a waiver of any preceding or subsequent breach or default.
10.2 Correction of Errors and Inaccuracies. TheContent may contain typographical errors or other errors or inaccuracies andmay not be complete or current. We therefore reserve the right to correct anyerrors, inaccuracies or omissions and to change or update the Content at anytime without prior notice. We do not, however, guarantee that any errors,inaccuracies or omissions will be corrected.
10.3 Enforcement/ Choice of Law/ Choice of Forum. If any part of these Terms of Use is determined by a court of competentjurisdiction to be invalid or unenforceable, it will not impact any otherprovision of these Terms of Use, all of which will remain in full force and effect. Any and all disputes relating to these Terms of Use, Copado’s PrivacyPolicy, your use of a Site, any other Copado websites or Content are governedby, and will be interpreted in accordance with, the laws of the State ofIllinois, without regard to any conflict of laws provisions. You agree to thesole and exclusive jurisdiction and venue of the federal or state courts in Chicago,IL in the event of any dispute of any kind arising from or relating to theseTerms of Use, Copado’s Privacy Policy, your use of a Site, any other Copadowebsite or the Content.
